1. About Us

JSB Print Solutions Ltd ("the Company", "we", "us", "our") is a company registered in England and Wales. Our registered office is at 9 Albion Place, Northampton, NN1 1UD, United Kingdom. We provide digital marketing consultancy, Facebook and Instagram advertising management, and Madgicx platform setup and optimisation services (collectively, "the Services").

2. Acceptance of Terms

By engaging our Services, accessing our website, or signing a service agreement, you ("the Client", "you") agree to be bound by these Terms of Service. If you do not agree, you must not use our Services. These terms govern all contracts between JSB Print Solutions Ltd and its clients unless otherwise agreed in writing.

3. Our Services

Our Services may include, but are not limited to:

• Madgicx account setup, configuration, and integration
• Facebook and Instagram paid advertising campaign management
• Meta Pixel and Conversions API installation and verification
• Audience building, creative strategy, and reporting
• Ongoing campaign optimisation and automation management

The specific scope of Services for each client is defined in a separate Service Agreement or proposal document.

4. Client Responsibilities

To enable us to deliver the Services effectively, you agree to:

• Provide timely access to your Meta Business Manager, ad accounts, and any required third-party platforms
• Supply accurate business information, brand materials, and creative assets as reasonably requested
• Ensure all advertising content you provide complies with Meta's advertising policies and applicable law
• Maintain an active Madgicx subscription (where applicable) and pay all platform fees directly to Madgicx
• Pay all ad spend costs directly to Meta — we do not hold, advance, or manage client ad budgets
• Respond to communications within a reasonable timeframe to avoid delays to your campaigns

5. Fees and Payment

Our management fees are set out in your Service Agreement. Unless otherwise agreed:

• Monthly retainer fees are invoiced in advance at the start of each billing period
• One-time setup fees are invoiced upon commencement of work and are non-refundable once work has begun
• All fees are quoted exclusive of VAT; VAT will be added where applicable
• Payment is due within 14 days of invoice date; late payment may result in suspension of Services
• We reserve the right to revise fees with 30 days' written notice

6. Results and Performance

We will use all reasonable skill and care to optimise your advertising campaigns. However, we cannot guarantee specific results, including but not limited to particular ROAS, CPA, revenue figures, or conversion rates. Advertising performance is influenced by many factors outside our control, including market conditions, product quality, landing page performance, and Meta's algorithm changes.

7. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the engagement, including business data, campaign performance data, pricing, and strategy. This obligation survives termination of the agreement.

8. Intellectual Property

Any materials, reports, frameworks, or templates we create remain the intellectual property of JSB Print Solutions Ltd until all fees are paid in full. Upon full payment, the Client receives a licence to use deliverables for their own business purposes. We retain the right to use anonymised campaign data for case studies and performance benchmarking.

9. Limitation of Liability

To the fullest extent permitted by law, our total liability to you for any claim arising out of or in connection with the Services shall not exceed the total fees paid by you to us in the three months preceding the claim. We shall not be liable for any indirect, consequential, special, or incidental loss, including loss of profits or revenue.

10. Termination

Either party may terminate monthly Services with 30 days' written notice. We reserve the right to terminate immediately if you breach these terms, fail to make payment, or act in a manner that causes or risks reputational harm. Upon termination, all fees for work completed remain payable.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify existing clients of material changes. Continued use of our Services after notice constitutes acceptance of the updated Terms.
